1. Acceptance of Terms

By accessing or using Nexdge ("the Service"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service. You must be at least 16 years old to use Nexdge.

These Terms form a legal agreement between you and Mieux Demain Private Limited, a company incorporated in Delhi, India ("we", "us", "our"). They apply to all users, free and paid.

2. What Nexdge Does

Nexdge provides AI-powered code review. You submit code through our dashboard or API; our system analyses it using multiple specialist AI reviewers and returns findings, scores, and optional rewrites. Your code is processed in memory and permanently deleted immediately after each review. We do not store, retain, or train on your submitted code.

3. Your Account

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately at support@nexdge.com if you suspect unauthorised access. We reserve the right to suspend accounts that violate these Terms.

4. Credits and Billing

The Service runs on a credit-based system. Free accounts receive 3 one-time credits that never reset. Paid subscription credits reset monthly on your renewal date. Top-up credits purchased separately never expire. Plan allocations: Free (3), Solo (25/mo), Pro (70/mo), Studio (160/mo), Agency (500/mo).

Payments are processed by Dodo Payments, which acts as merchant of record for the transaction. Subscription fees are billed in advance, monthly or annually, in US dollars. Local taxes (GST, VAT) may apply at checkout where required by law.

5. Refund Policy

All purchases are final. We do not refund subscription payments or top-up credit purchases once processed. Cancel anytime. Your access and credits remain active until the end of your billing period. For technical issues preventing credit usage, contact support@nexdge.com.

6. Acceptable Use

You may not submit code you don't have the right to share, including code under confidentiality agreements that prohibit third-party processing. You may not use the Service to review malware, ransomware, or code designed to cause harm. You may not circumvent rate limits, scrape the Service, reverse-engineer our models, or interfere with its operation.

API access (Pro plan and above) must stay within your plan limits. Automated access beyond those limits without our written consent is prohibited.

7. API Access

API access is available on the Pro plan and above. Keys must be kept confidential and never committed to version control. You are responsible for all usage under your keys. We may revoke keys that are misused or that generate excessive load on our infrastructure.

8. Third-Party Services and AI-Generated Output

Review findings are generated using third-party AI models from Anthropic and DeepSeek, and delivered through infrastructure operated by Vercel, Supabase, Dodo Payments, Resend, and Upstash. Findings, scores, and rewrites are AI-generated guidance intended to help you ship safer code faster. They are not a certified security audit, not a compliance certification, and not legal advice. Acting on review output without independent verification, where the stakes warrant it, is your responsibility.

9. Intellectual Property

Nexdge and all associated trademarks, logos, and service marks belong to Mieux Demain Private Limited. The code you submit remains yours. Review output is provided for your use, and we claim no ownership over it. You grant us no rights to your submitted code beyond what's necessary to process your request. It is processed and deleted, never retained or used to train our models.

10. Disclaimer of Warranties

The Service is provided "as is" and "as available," without warranties of any kind. We do not warrant that it will be error-free, uninterrupted, or that findings will be complete or accurate. Code review is a tool to assist you, not a substitute for professional security audit, legal review, or qualified engineering judgement.

11. Limitation of Liability and Indemnification

To the maximum extent permitted by law, Mieux Demain Private Limited is not liable for indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. Our total liability to you for any claim under these Terms will not exceed the amount you paid us in the 12 months preceding the claim.

You agree to indemnify and hold us harmless against claims, damages, or expenses arising from your misuse of the Service, content you submit that infringes a third party's rights, or your violation of these Terms.

12. Termination

You may stop using the Service at any time; cancelling a subscription follows the process in Section 5. We may suspend or terminate your access for violating these Terms, with notice where practicable. On termination, your right to use the Service ends immediately; provisions that by their nature should survive, including intellectual property, disclaimers, limitation of liability and governing law, continue to apply.

13. Modifications to the Service

We may add, change, or discontinue features, pricing, or credit allocations at any time. Where a change materially affects paid plans, we'll give reasonable notice. Continued use of the Service after a change takes effect constitutes your acceptance of it.

14. Governing Law

These Terms are governed by the laws of India. Any dispute arising under them is subject to the exclusive jurisdiction of the courts of Delhi, India.

15. General Provisions

If any provision of these Terms is found unenforceable, the remaining provisions stay in effect. These Terms are the entire agreement between you and us regarding the Service, superseding any prior agreement on the same subject. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition, or sale of assets. Neither party is liable for delay or failure to perform caused by circumstances beyond reasonable control.

16. Changes to These Terms

We may update these Terms from time to time. When we do, we'll update the "Last updated" date above and, for material changes, notify you by email. Continued use of the Service after the effective date of any change constitutes acceptance of the updated Terms.
